We do not sell or ship physical merchandise, equipment, printed materials, or other tangible products.

6. Orders, Proposals, and Service Agreements
Before beginning a project, MOVARON LLC may provide a proposal, quotation, statement of work, invoice, or service agreement describing the services to be performed.
Customers are responsible for reviewing the applicable documents before approving a purchase.
Project scope, pricing, milestones, deliverables, payment schedules, revision limits, and estimated completion dates may be specified in the applicable agreement.
Any changes to the original scope of work may require additional fees, revised deadlines, or written approval.
If these Terms and Conditions conflict with a separately signed service agreement, the signed agreement will control for the specific project to the extent of the conflict, unless applicable law requires otherwise.
7. Pricing and Payments
Prices for our services will be communicated through our website, proposals, invoices, or written agreements.
Unless otherwise stated in the applicable agreement:
Customers agree to pay the fees specified for their selected services.
Deposits, milestone payments, or upfront payments may be required before work begins.
Additional work outside the agreed scope may incur additional charges.
Applicable taxes and other legally required charges may be added to invoices.
Payments must be made according to the deadlines stated in the applicable invoice or agreement.
We may suspend work or restrict access to certain services for overdue payments, subject to applicable law and contractual obligations.
Any late fees, interest, or collection charges will apply only when authorized by the applicable agreement and permitted by law.
8. Refunds and Cancellations
Refunds and cancellations are governed by our separate Refund Policy and any applicable service agreement.
Because our services may involve custom development, programming, configuration, consulting, and other professional work, refund eligibility may depend on the amount of work completed, the project status, and any applicable contractual terms.
Completed work, incurred costs, and third-party charges may be non-refundable where permitted by law and disclosed in the applicable agreement.
Customers wishing to cancel a project or request a refund should contact:
Email: info@movaron.com
Phone: 475-888-8828
Nothing in these Terms and Conditions limits any refund, cancellation, or other right that cannot legally be waived.
9. Project Timelines and Customer Responsibilities
We will make reasonable efforts to meet agreed project timelines. However, estimated delivery dates are not guaranteed unless expressly agreed to in writing.
Project completion may depend on receiving timely information, approvals, content, access credentials, and other materials from the customer.
Customers agree to:
Provide accurate and complete project information.
Supply content and materials they have the right to use.
Review drafts, prototypes, and deliverables within agreed timeframes.
Provide necessary feedback and approvals.
Maintain the security of their accounts and credentials.
Ensure that their instructions and supplied materials comply with applicable laws.
Delays caused by missing information, delayed approvals, scope changes, third-party providers, or circumstances outside our reasonable control may affect project schedules and costs.
10. Intellectual Property Rights
A. MOVARON LLC Materials
Unless otherwise agreed in writing, MOVARON LLC retains ownership of its pre-existing tools, frameworks, code libraries, templates, methods, processes, know-how, and other materials developed independently of a customer's project.
These materials may not be copied, redistributed, resold, or used outside the scope of the applicable agreement without authorization.
B. Customer Materials
Customers retain ownership of materials they provide to MOVARON LLC, including their logos, branding, text, images, and other content, subject to any rights belonging to third parties.
Customers grant MOVARON LLC the limited permission necessary to use those materials to perform the contracted services.
Customers represent that they have the rights, permissions, and licenses required to provide and authorize our use of those materials.
C. Custom Deliverables
Ownership and licensing of custom-developed websites, code, designs, digital assets, and other deliverables will be governed by the applicable written agreement.
Unless otherwise agreed, payment in full does not automatically transfer ownership of MOVARON LLC's pre-existing intellectual property or third-party materials.
Where an agreement provides for transfer of ownership or a license after payment, that transfer or license will be subject to the terms of the agreement and any applicable third-party restrictions.
D. Third-Party Materials
Websites and digital solutions may incorporate third-party software, open-source components, APIs, plugins, fonts, images, or other licensed materials.
Those materials remain subject to their respective licenses and terms. MOVARON LLC cannot transfer rights that it does not own or have authority to transfer.
11. AI Services, Chatbots, and Third-Party Integrations
Some services may use artificial intelligence, automated responses, chatbot technology, external APIs, and third-party software platforms.
Customers acknowledge that:
AI-generated outputs may be inaccurate, incomplete, outdated, or inappropriate.
Automated systems may require ongoing monitoring, testing, and adjustment.
Third-party platforms may change their pricing, features, availability, or terms.
AI systems should not be relied upon as the sole source for legal, medical, financial, emergency, or other high-stakes decisions.
Human review may be necessary before acting on AI-generated information.
Unless expressly agreed in writing, MOVARON LLC does not guarantee that AI systems will produce error-free results, generate a particular number of leads, achieve specific conversion rates, or deliver a particular business outcome.
Customers are responsible for reviewing AI-generated content and determining whether its use is appropriate for their business.
12. Third-Party Services
Our digital services may depend on third-party hosting providers, domain registrars, payment processors, cloud platforms, AI providers, advertising platforms, analytics tools, or other external services.
These third parties operate under their own terms and policies.
MOVARON LLC is not responsible for third-party outages, changes, pricing decisions, discontinued features, security incidents, or actions outside our reasonable control.
Where a third-party service is necessary for a customer's project, the customer may be required to maintain a separate account, license, subscription, or payment arrangement with that provider.
13. Acceptable Use
Customers and website visitors agree not to use our website or services to:
Violate applicable laws or regulations.
Infringe intellectual property, privacy, or other legal rights.
Distribute malware, malicious code, or harmful software.
Attempt unauthorized access to systems, accounts, or data.
Conduct fraud, phishing, or deceptive activities.
Send unlawful spam or unauthorized marketing communications.
Collect, process, or disclose personal information unlawfully.
Interfere with website security, availability, or functionality.
Use our services for unlawful, abusive, or harmful purposes.
We may investigate suspected violations and take reasonable action, including suspending affected services or terminating an agreement where permitted by law and the applicable contract.
14. Website Content and Availability
We make reasonable efforts to maintain the availability and accuracy of our website. However, we do not guarantee that our website will always be available, uninterrupted, secure, or free from errors.
Website content is provided for general informational purposes and may be updated without notice.
We reserve the right to maintain, modify, or temporarily suspend our website for maintenance, security, or operational reasons.
15. Privacy and Data Protection
Your use of our website and services is also subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal information.
Where MOVARON LLC processes personal information on behalf of a customer, the parties' respective obligations may also be governed by a separate agreement and applicable privacy laws.
Customers are responsible for ensuring that information they provide to us, and their own use of any websites or digital systems we develop, comply with applicable privacy, data protection, consumer protection, and marketing laws.
16. Confidentiality
Each party may receive confidential information from the other in connection with a project or business relationship.
Where confidentiality obligations apply under a separate written agreement or applicable law, each party agrees to use reasonable care to protect the other party's confidential information and to use it only for authorized purposes.
Confidentiality obligations do not apply to information that is lawfully public, independently developed without use of confidential information, or lawfully received from another source without a duty of confidentiality.
Nothing in this section overrides a separate nondisclosure agreement or other written confidentiality arrangement.
17. Warranties and Disclaimers
MOVARON LLC will perform its services in accordance with the applicable written agreement and any warranties expressly provided in that agreement.
Except for warranties that are expressly provided or cannot legally be excluded, our website and general informational content are provided on an “as available” and “as is” basis.
To the extent permitted by law, we disclaim implied warranties that may otherwise apply to our website or services, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee specific commercial outcomes, including increased revenue, search engine rankings, website traffic, lead volume, conversion rates, or profitability, unless a specific result is expressly guaranteed in a written agreement.
Nothing in these Terms excludes any warranty or consumer protection right that cannot legally be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, MOVARON LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, or loss of data arising from or relating to the use of our website or services.
To the extent permitted by applicable law, and except for liabilities that cannot legally be limited, MOVARON LLC's total aggregate liability arising from a particular service engagement will not exceed the amount paid or payable to MOVARON LLC for the specific services giving rise to the claim during the 12 months preceding the event giving rise to the claim.
These limitations do not apply to the extent prohibited by law and do not limit liability that cannot legally be excluded or restricted.
Any additional liability provisions in a signed service agreement will be governed by that agreement to the extent applicable and legally enforceable.
19. Indemnification
To the extent permitted by law, customers agree to be responsible for claims, losses, damages, and reasonable expenses arising from their unlawful use of our services, materials they provide without the necessary rights, or their material violation of these Terms and Conditions.
This provision does not require customers to indemnify MOVARON LLC for our own conduct to the extent such indemnification would be prohibited by applicable law or the parties' written agreement.
20. Suspension and Termination
MOVARON LLC may suspend or terminate access to its website or services when reasonably necessary due to security risks, unlawful activity, material contractual violations, nonpayment, or other grounds permitted by the applicable agreement and law.
Where reasonably practicable and legally appropriate, we will provide notice and an opportunity to address the issue before termination.
Upon termination, the parties remain responsible for outstanding payment obligations and any other provisions that by their nature should survive termination.
Ownership rights, confidentiality obligations, limitations of liability, and dispute-related provisions may survive termination to the extent applicable and legally enforceable.
21. Force Majeure
MOVARON LLC will not be responsible for delays or failures to perform caused by events beyond our reasonable control, including natural disasters, widespread internet or telecommunications outages, cyberattacks, government actions, labor disruptions, or interruptions affecting essential third-party platforms.
We will make reasonable efforts to minimize the impact of such events and resume performance when reasonably practicable.
This provision does not excuse payment obligations for services already performed or restrict rights that cannot legally be limited.
22. Governing Law and Dispute Resolution
These Terms and Conditions will be governed by the laws of the State of California, without regard to its conflict-of-law principles, except where another law must apply.
Any dispute arising out of these Terms and Conditions will be handled in a court of competent jurisdiction, subject to applicable law and any valid dispute-resolution agreement between the parties.
Nothing in this section limits any mandatory consumer rights or prevents a party from seeking relief where legally permitted.
23. Changes to These Terms
MOVARON LLC may revise these Terms and Conditions periodically to reflect changes in our services, business practices, or legal obligations.
The updated version will be published on our website with a revised “Last Updated” date.
Changes will apply as permitted by applicable law and any existing written agreement. Where required, we will provide notice or obtain consent before applying material changes.
24. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Any invalid provision will be interpreted or limited only as necessary to comply with applicable law.
25. Entire Agreement
These Terms and Conditions, together with any applicable proposal, statement of work, signed service agreement, Privacy Policy, Refund Policy, and other expressly incorporated terms, govern the relevant aspects of your relationship with MOVARON LLC.
These Terms do not override a separate written agreement where that agreement expressly controls a specific matter.
